ARTICLE III.
NOMINATIONS AND ELECTIONS: The Executive Committee (E.C.) will appoint two members as a nomination committee at the April meeting to present a slate of candidates at the May meeting for election to the five members of the Executive Commitee on odd-numbered years, starting in the year 2001.  Additional nominations can be made from the floor and a secret ballot will be cast for any contested office.  The voting will be done by both active paid-up and emeritus members.  Installation of officers will be at the annual banquet meeting in June.  The Executive Committee may make temporary appointments to offices vacated prematurely.

The Photography Association of Wenatchee (PAW) is an organization of people with a common interest in photography, dedicated to educating all of those who want to benefit from learning, teaching, sharing, participating, and showing photography on a regular basis to those living primarily in Chelan and Douglas Counties, and also promoting the Wenatchee Valley Museum & Cultural Center Association as an official affiliate.    
Constitution and Bylaws.
ARTICLE I.
NAME: Photography Association of Wenatchee (PAW, a non-profit organization).
FISCAL YEAR: July 1st to June 30th.
PURPOSE: Two-fold.
   (1)  To meet officially at a designated place once a month on the fourth Monday of each month except July and August.  The first part of the meeting will be devoted to a sharing of print, slide, and digital photos, followed by a presentation program, which may be a demonstration, lecture, prepared slide show, videotape, or a visiting speaker.  The second portion will be devoted to association business, including planning activities, fundraisers, photo contests, exhibits and/or critiques, and affiliation responsibilities.  The Vice-President will be in charge of presentation programs.  
   (2)  To create an abiding interest among its members and the general public in all aspects of photography, and to promote a friendly and competitive spirit among amateur photographers who are ranked as beginners, intermediate, and advanced.  The definition of "amateur" will be one who does not obtain principal income from photographic activity. 
ARTICLE II.
MEMBERSHIP:  Open to all amateurs, advanced amateurs, professionals, and interested parties, who wish to be one of us.
ANNUAL DUES:  Single member, $10.00; Couple, $15.00; Family, $20.00.
TERMINATION: Non-payment of dues or unanimous vote by the Executive Committee for any action contrary to the interests of the Photography Association of Wenatchee.

STANDING COMMITTEES:  To be appointed as needed by the President. 
EXECUTIVE COMMITTEE:  To be composed of the five elected officers.  A quorum will be three officers.  Association members may submit any changes of the operation or policies of the Photography Association of Wenatchee in writing to the E.C., which will, in turn, present the ideas to the general membership, if deemed appropriate. 

ARTICLE V.
DISSOLUTION:  This non-profit organization can be terminated at any time by an unanimous vote of the Executive Committee and all monies and property donated to a suitable non-profit orgnization.  This document can be changed or amended at any time by unanimous vote of the five members of the Executive Committee.

ARTICLE VI.
EXPEMPLARY SERVICE:  For recognized exemplary service by association members, emeritus status will be bestowed, and this waives all future dues.  In addition, association members during an awards ceremony will formally recognize this status.
